Terms of Service

These Terms of Service ("Terms") govern access to and use of the Carbonlyt platform (app.carbonlyt.com) and public website (carbonlyt.com), operated by Carbonlyt ("Carbonlyt," "we," "us"). By accessing or using Carbonlyt, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent.
1. Eligibility and authority
Carbonlyt does not offer self-service sign-up — accounts are created only by invitation from an authorized administrator at a customer organization. By accepting an invitation and creating an account, you represent that you are authorized to act on behalf of the organization that invited you, and that the organization has the authority to enter into these Terms.
2. Your account
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly at contact@carbonlyt.com if you suspect unauthorized access. Carbonlyt accounts are provisioned and managed by your organization's administrators — role assignment, access revocation, and similar account-management actions are their responsibility, not ours.
3. Acceptable use
You agree not to: • Use Carbonlyt for any unlawful purpose or in violation of these Terms • Attempt to gain unauthorized access to any account, data, or system • Interfere with or disrupt the platform's operation • Reverse-engineer, decompile, or attempt to extract source code from the platform, except as permitted by law • Use the platform to enter or process data you do not have the right to enter We may suspend access for conduct that violates this section.
4. Customer data ownership and our license to use it
As between you and Carbonlyt, your organization retains all ownership rights to the business, operational, and sustainability data it enters into the platform ("Customer Data"). You grant Carbonlyt a limited license to access, store, process, and display Customer Data solely as necessary to provide, maintain, and support the platform for your organization — for example, running the calculations and generating the reports your organization requests. We do not use Customer Data to train third-party AI models, and we do not sell Customer Data.
5. Intellectual property
Carbonlyt retains all rights, title, and interest in the platform itself — its software, design, branding, and underlying technology — apart from Customer Data. Nothing in these Terms transfers any Carbonlyt intellectual property to you, except the limited right to access and use the platform as intended.
6. Third-party services
Carbonlyt relies on third-party infrastructure providers — currently Supabase for authentication and database hosting, Resend for transactional email, and Vercel for application hosting — to operate the platform. Your use of Carbonlyt is also subject to the availability and performance of these providers, which is outside our direct control.
7. Availability and changes to the service
We aim to keep the platform available and useful, but we do not guarantee uninterrupted or error-free operation. We may modify, update, or discontinue features of the platform at our discretion, and will use reasonable efforts to communicate material changes that affect your organization's use of core functionality.
8. Reports and outputs
Carbonlyt does not guarantee that calculations, reports, or outputs generated by the platform satisfy any specific regulatory, certification, or audit requirement. Your organization remains responsible for reviewing and verifying any output used for external reporting, disclosure, or compliance purposes.
9. Suspension and termination
We may suspend or terminate access to the platform if we reasonably believe an account or organization has violated these Terms, poses a security risk, or if required by law. Your organization may stop using the platform at any time. Upon termination, we will retain Customer Data for a reasonable period consistent with our Privacy Policy's retention practices, after which it may be deleted; contact contact@carbonlyt.com to discuss data export or deletion in connection with termination.
10. Disclaimers
The platform is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
11. Limitation of liability
To the maximum extent permitted by law, Carbonlyt and its service providers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising from or related to your use of the platform.
12. Indemnification
Your organization agrees to indemnify and hold Carbonlyt harmless from claims arising out of your misuse of the platform, violation of these Terms, or violation of applicable law, to the extent permitted by law.
13. Changes to these Terms
We may update these Terms as the product evolves. We will make reasonable efforts to notify active customer organizations of material changes.
